    The Company

    Berkeley Lights (BLI) is a leading Digital Cell Biology company focused on enabling and accelerating the rapid development and commercialization of biotherapeutics and other cell-based products. This is a new way to capture and interpret the qualitative language of biology and translate it into single-cell specific digital information, referred to as Digital Cell Biology.

    BLI customer base was comprised of 45 customers, which include eight of the ten largest biopharmaceutical companies in the world ranked by 2019 revenue who comprised 18% of revenue in 2019, biotechnology companies, leading contract research organizations, synthetic biology companies and academic institutions. Many of these customers are recent adopters and there is significant opportunity to expand the use of our workflows and capitalize further throughout their value chains.

    Market Opportunity

    Cells have tremendous capabilities and are an effective means to discover, develop and manufacture a wide range of products, including therapies for diseases, new and sustainable foods and industrial materials. BLI has grown workflow library with increasing velocity since the introduction of first workflow in December of 2016, and as of May 31, 2020, BLI offered six commercial workflows, incorporating sixteen assays and eleven cell classes.

    BLI estimates that end market sales of cell-based products in antibody therapeutics, cell therapy and synthetic biology were approximately $148 billion in 2019 and are expected to grow to $255 billion by 2024 at an 11% CAGR.


    BLI has incurred significant losses since inception, it expects to incur losses in the future and may not be able to generate sufficient revenue to achieve and maintain profitability.

    BLI operating results have fluctuated significantly in the past and may fluctuate significantly in the future, which makes future operating results difficult to predict and could cause operating results to fall below expectations.

    If BLI cannot maintain current relationships with customers, fail to sustain recurring sources of revenue with existing customers, or if it fails to enter into new relationships, future operating results would be adversely affected as a general matter.


    BLI revenue has to date primarily been driven by early adopters of technology for research and development purposes. Revenue was $31.3 million and $56.7 million for the years ended December 31, 2018 and 2019, respectively, and $12.6 million and $13.8 million for the three months ended March 31, 2019 and 2020, respectively. BLI was negatively affected by the COVID-19 pandemic, which impact began in the first quarter of 2020 and persisted through the second quarter of 2020.

    BLI intends to raise $150 million from an IPO of its common stock at about $1B valuation. Berkeley Lights has raised a total of $235 in funding over 8 rounds. Berkeley Lights is funded by 13 investors, including Sequoia Capital. BLI has shown strong financial results, operates on prospective and fast-growing market and has received support from famous investors. The expected return on investment is significant (above 40%).

    3. Start Bidding

    The price of shares is rising from the first day due to the demand of investors deprived of the opportunity to buy shares before trading.     Early profit fixation

    Although no shares are allowed to be sold during the lock-up period, our traders seek to offer investors fixed profit by way of using various financial instruments, including forwards, options, short positions etc.

    From the investor’s point of view this means that he or she may close an investment by paying a certain part of its value (as a rule, approximately 15 percent). This is due to high prices for the instruments which are employed to ensure availability of fixed profit. As such, you shall press any relevant button in the Investor Account as soon as it is active.

    The closing procedure is similar to commencement of investment business. You shall file a bid which is executed within a business day by UT. So, your investment is closed at the price currently prevailing on the stock exchange. However, we rarely recommend using this feature, since upon expiry of an applicable lock-up period the average performance is higher.



    3 per cent of the share price. This fee is charged as soon as your investment bid is confirmed.


    1.75 per cent of the purchase price paid for your shares as soon as trading is closed. This fee is charged upon closure of any relevant investment.


    20 per cent of the profit your derive. This fee is charged only if you show positive performance as of the moment any relevant investment is closed.


    Usually, 15 per cent (depends on the stock exchange environment). It is calculated per each investment individually.
